Definitions

"the Website" : this website, www.crosswordtools.com or any copy or alias accessible under an alternative domain name including all pages, services and data hosted on the servers that comprise it.
"We", "us", "our": the company that owns and operates the Website: Genius 2000 Ltd or its successors/assignees.
"paid-up subscribers": users who have obtained a subscription to the website and who are currently within the term of their subscription.
"free users" : users who are using the Website without having subscribed or whose subscription is no longer current.
"tools" : online services hosted on the Website.
"data" : all content, tool output, translations, crossword-related knowledge, crossword clues, complete crosswords and all other output displayed or generated by the Website or data hosted on the Website.
"Permitted Search Engines": Search engines (such as www.google.com) which obey the Robot exclusion standard and index the site to enable users to find it.
"Access Details" : a user name and password or other similar information necessary to log on and gain access to the Website and/or specific services hosted on the Website
"Submitted Data" : Knowledge, text or other data of any kind typed or otherwise submitted by you into the Website.

1. Acceptance of Terms

1.1 Your access to and use of the Website is subject exclusively to these Terms and Conditions. You will not use the Website for any purpose that is unlawful or prohibited by these Terms and Conditions. By using the Website you are fully accepting the terms, conditions and disclaimers contained in this notice. If you do not accept these Terms and Conditions you must immediately stop using the Website. We reserve the right to change these Terms and Conditions from time to time without prior notice and accordingly you should check these Terms and Conditions with sufficient frequency to ensure that you are complying with them each time you access the Website.

2. Commercial Use

2.1 The Website is licensed for domestic and recreational use only for free users. Light commercial use (such as use associated with the low-volume paid setting of crosswords), is permitted for paid-up subscribers. If you wish to use any of the tools or data on the Website in association with any commercial activity turning over more than £10000 (ten thousand pounds sterling) per annum (or equivalent) you must first negotiate a higher subscription payment with us. The advertised subscription rates reflect these restrictions on commercial use.

3. Access Details

3.1 You will use all reasonable precautions to keep your Access Details strictly confidential and you will notify us immediately if you suspect that any third party has obtained them.

3.2 We reserve the right to cancel/change any Access Details when we have reasonable grounds to suspect that the account is being used by an unauthorised party or that those details are otherwise being used for access that fails to comply with these Terms and Conditions.

4. Multiple Users

4.1 Accounts are issued to individuals using one computer at a time and a subscription gives only one person the right to access the Website using the Access Details. Access Details must not be shared. If more than one person wishes to access the features of the site available to paid-up subscribers, additional subscriptions must be purchased for each such person.

5. Automated/High volume use

5.1 With the sole exception of Permitted Search Engines, use of this site must be made by a human user accessing it through a standard web browser. Permission must be obtained before accessing any of the tools or data on the Website through any automated or semi-automated method.

5.2 Without limitation to the generality of clause 5.1, the following activities are strictly prohibited without our prior written consent:
(a) submitting excessive quantities of requests to any of the tools. (For the purposes of this clause "excessive" shall mean substantially greater in either frequency and/or duration of use from what could reasonably be expected to result from normal usage by a human user.)
(b) accessing the tools from webpages hosted by a third-party website.
(c) submitting multiple page or tool requests in a way that causes them to systematically reveal our data.

6. Cookies

6.1 Cookies are small files containing data which are transmitted to your web browser, stored on your computer and transmitted back in certain circumstances. Cookies are used to identify you whilst you are using the site, store settings and for other purposes some of which are vital to the correct functioning of the tools and/or Website. It is a condition of the use of the Website that you do so with a browser that accepts and handles site-generated cookies correctly. If this condition is not followed, the Website may not function correctly and we reserve the right to bar access completely.

7. Add Knowledge/Copyright/Accuracy

7.1 Knowledge added to our knowledge base via the Add Knowledge tools must not breach the copyright of any third party or otherwise infringe any third-party intellectual property rights.

7.2 You must use your reasonable judgement to ensure that knowledge added to our knowledge base via the Add Knowledge tool is accurate and complies with any directions on style, content, formatting or other directions which we may from time to time specify. We reserve the right to bar users who frequently disobey said directions and/or submit significant quantities of inaccurate knowledge from further use of said tool.

8. Submitted Knowledge

8.1 We may use any Submitted Data to improve the performance of the tools and other technologies and products and you grant us a non-exclusive licence to use, publish, sublicense or otherwise commercially exploit all Submitted Data and all derivative works we may create with said Submitted Data. Your sole consideration for the granting of said licence shall be the services and content of the Website to the extent said services and content are available to you.

9. Limits

9.1 Use of the tools can consume significant quantities of computer resources. Accordingly, we reserve the right to impose limits on the use of the tools and the Website. Said limits may include:
(a) limiting the number of runs of each tool that can be made by a single user within a particular timeframe
(b) limiting the length and/or nature of the requests made
and
(c) any other method that we judge (at our sole discretion) to be both needed and effective.

9.2 We reserve the right to keep said limits confidential and to change said limits without notice. Although we will endeavour to keep said limits above the point where they will affect paid-up subscribers making normal use of the Website, we do not guarantee to do so and for the purposes of this clause, how we judge and define "normal use" will be at our sole discretion.

9.3 We reserve the right to set limits differently for different categories of user. (Example: Limits set for free users may be far below the equivalent points for paid-up subscribers.)

10. Copyright

10.1 All copyright, trade marks and all other intellectual property rights in the Website and its content (including without limitation the Website design, text, graphics, crossword-related and lexical knowledge and all software and source codes connected with the Website) are owned by or licensed to us or otherwise used by us as permitted by law.

10.2 None of the content may be downloaded, copied, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder. This excludes the downloading, copying and/or printing of pages of the Website for personal use permitted by these Terms and Conditions.

11. Changes to Website

11.1 The available tools, restrictions placed on tools to certain classes of user and all other content and access policies may be changed by us without notice at any time.

12. Subscription Payments/Subscription Cancellation

12.1 Subscriptions are paid in advance at the start of each subscription period (e.g. monthly). In most cases your subscription will auto-renew for another subscription period by an automatic charge to your credit card or other payment method when the period previously paid for has expired. Your permission will be obtained for all automatic charging when you start your subscription. Credit card and other payments are handled through a third-party payment provider such as Worldpay PLC. To cancel your subscription you need to contact the third-party to ensure that no further payments are obtained. Cancellation can be done at any time prior to the renewal date. On cancellation your Access Details will continue to be valid and your subscription will continue up until the point previously paid for, after which your subscription will expire and you will cease to be a paid-up subscriber. Refunds for the fraction of your subscription period subsequent to the date you decided to cancel will not be given.

13. Disclaimers and Limitation of Liability

13.1 The Website is provided on an "AS IS" and "AS AVAILABLE" basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

13.2 To the maximum extent permitted by law, we will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Website.

13.3 We make no warranty that the functionality of the Website will be uninterrupted or error free, that defects will be corrected or that the Website or the server(s) that make it available are free of anything which may be harmful.

13.4 In any case, under no circumstances will our liability for any losses connected with your use of the Website exceed the subscription payments paid for said use during the period in which said losses occurred.

13.5 Nothing in these Terms and Conditions shall be construed so as to exclude or limit our liability for death or personal injury as a result of our negligence or those of our employees or agents.

14. Indemnity

14.1 You agree to indemnify and hold us and our employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against us arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of the Website.

15. Headings

15.1 Headings are used only for to aid readability of these Terms and Conditions and shall not be used in interpreting their meaning.

16. Severance

16.1 If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable.

17. Governing Law

17.1 These Terms and Conditions shall be governed by and construed in accordance with the law of England and you hereby irrevocably submit to the non-exclusive jurisdiction of the English courts.
